SmoothStay™ is a registered DBA of HelloBnB LLC, a Wyoming limited liability company, offering an AI-powered guest experience platform — including digital guidebooks, AI-generated content tools, and guest management features — designed for short-term rental hosts, property managers, and independent hospitality operators. These Terms and Conditions ("Terms") govern your access to and use of our website, applications, and SaaS platform (collectively, the "Services"). By accessing or using the Services, you, the company or legal entity utilizing the Services ("Customer"), agree to comply with and be bound by these Terms.

1. Definitions
"SmoothStay", "we", "us", "our": HelloBnB LLC (DBA SmoothStay)
"Customer", "you", "your": The individual or entity using the Services
"Authorized User": Someone permitted by you to access your account
"Content": Any data, text, images, or material submitted through the Services
"Guest Data": Information about your guests collected or processed through the Services, including but not limited to names, contact details, and identification documents submitted via online check-in features
"AI Features": AI-powered functionality within the Services, including the AI guidebook generator, AI chatbot, and AI content assistant
"Subscription Term": The period of your paid access, defined in your Order
"Order": Your selected pricing plan or subscription agreement (online or written)
"Third-Party Integrations": Connections to external platforms such as property management systems (PMS), payment processors, or compliance services enabled through the Services
2. Acceptance of Terms
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Services.
3. Access and Use of Services
3.1 Grant of License
SmoothStay grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during the Subscription Term for your internal business purposes, subject to these Terms and any applicable documentation.
3.2 Restrictions
You agree not to:
Modify, reverse-engineer, or decompile any part of the Services.
Use the Services for any unlawful purposes or in violation of applicable laws.
Infringe on the intellectual property rights of others.
Resell, lease, sublicense, or make the Services available to unauthorized third parties.
Upload or process sensitive personal data beyond what is required for features you have expressly enabled (such as guest identification via online check-in), except where explicitly agreed upon with SmoothStay in writing.
Upload or share content that is unlawful, harmful, defamatory, obscene, infringing, hateful, or otherwise objectionable.
Use AI Features to generate content that is misleading, fraudulent, or intended to deceive guests or third parties.
Interfere with or disrupt platform operations, security, or performance.
We reserve the right to suspend or terminate accounts that violate these restrictions.
3.3 Free Trials and Beta Features
If you are using the Services on a free trial or beta basis ("Trial Services"), such Services are provided "as is" and "as available" without warranties. Trial Services may be modified or discontinued at any time without notice.
4. AI Features
4.1 AI-Generated Content
SmoothStay's AI Features may generate guidebook content, suggested text, translations, and other outputs based on information you provide or that is publicly available (such as property listings). All AI-generated content is provided as a starting point only. You are solely responsible for reviewing, editing, and verifying the accuracy, completeness, and appropriateness of all AI-generated content before making it available to guests.
4.2 No Guarantee of Accuracy
AI-generated outputs may contain errors, omissions, or outdated information. SmoothStay makes no representations or warranties regarding the accuracy or fitness of AI-generated content for any particular purpose.
4.3 Your Data and AI Improvement
We may use anonymized, aggregated data derived from your use of AI Features to improve the quality and performance of our Services. We will not use your identifiable Content or Guest Data to train AI models without your explicit consent. See our Privacy Policy for full details.
4.4 AI Chatbot
The AI chatbot feature responds to guest queries based on the content you have provided in your guidebook. Responses are generated automatically. You are responsible for ensuring your guidebook content is accurate and up to date so that chatbot responses reflect correct information about your property.
5.1 User Accounts and Security
You are responsible for maintaining the confidentiality of account credentials and ensuring that only Authorized Users access the Services. You agree to notify us immediately of any unauthorized access, security incidents, or suspected breaches.
5.2 Compliance
You are solely responsible for ensuring that your use of the Services — and your collection, processing, and storage of Guest Data — complies with all applicable laws and regulations, including short-term rental regulations, data privacy laws (including GDPR where applicable), guest registration requirements, and any other local obligations in the jurisdictions where your properties are located.
5.3 Guest Data Responsibility
Where you use features that collect Guest Data (such as online check-in or guest registration forms), you are the data controller for that information. You are responsible for obtaining any required consents from guests, providing appropriate privacy notices, and complying with applicable data protection laws. SmoothStay processes Guest Data on your behalf as a data processor in accordance with our Privacy Policy.
6. Payment and Fees
6.1 Fees and Invoicing
All subscription fees are due in advance, as specified in your Order. Payments are processed by Lemon Squeezy, our authorized payment provider and merchant of record. By subscribing, you also agree to Lemon Squeezy's Terms of Sale. Subscription plans are available on a monthly or annual basis, as selected at the time of purchase.
6.2 Taxes
All fees are exclusive of applicable taxes. You are responsible for any sales, VAT, or other taxes arising from your use of the Services, excluding taxes based on SmoothStay's net income. As Lemon Squeezy acts as a merchant of record, applicable taxes may be calculated and collected by Lemon Squeezy at checkout.
6.3 Refunds and Cancellations
We offer a 14-day free trial. No credit card is required to start a trial. You may cancel your subscription at any time via your account dashboard. Refunds are not provided for unused time or partial billing periods unless otherwise required by law.
6.4 Annual Billing
If you select an annual billing option, your subscription fee will be charged in full at the start of each annual term. Annual subscriptions are not eligible for prorated refunds for unused months, except where required by applicable law.
6.5 Late Payments
Any amounts not paid when due may incur interest at 1.5% per month or the highest rate permitted by law, whichever is lower. Access to the Services may be suspended for overdue accounts.
7. Intellectual Property
7.1 Ownership
All intellectual property rights in the Services — including software, features, designs, trademarks, AI models, and underlying code — remain the sole property of SmoothStay or its licensors.
7.2 Customer Content
You retain ownership of any content or data you upload to the Services. By submitting content, you grant us a non-exclusive, worldwide license to host, display, process, and (where applicable) use it to power AI Features, solely to deliver and improve the Services for you.
8. Third-Party Integrations
8.1 Availability
The Services may offer integrations with third-party platforms, including property management systems (PMS), compliance providers, and payment processors (collectively, "Third-Party Services"). The availability of any specific integration is not guaranteed and may change at any time.
8.2 Your Responsibility
Your use of Third-Party Services is subject to the terms and conditions of those third parties. SmoothStay is not responsible for the performance, availability, or data practices of any Third-Party Service. By enabling a Third-Party integration, you authorize SmoothStay to exchange data with that service on your behalf as necessary to provide the integration.
8.3 Data Passed to Third Parties
When you enable an integration, reservation data, property data, or Guest Data may be transmitted to or received from the relevant third-party platform. You are responsible for ensuring that such data sharing complies with applicable laws and your obligations to your guests.
9. Support and Availability
SmoothStay offers email-based customer support at hello@smoothstay.io. We strive for high uptime, but the Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Support response times are provided on a best-efforts basis and are not guaranteed within any specific timeframe.
10. Termination
10.1 Termination by Customer
You may cancel your subscription at any time via your dashboard. Your access will remain active through the end of your current billing cycle.
10.2 Termination by SmoothStay
We may suspend or terminate your access if you:
Materially breach these Terms and fail to remedy within 30 days of notice;
Fail to pay fees when due;
Use the Services in a way that harms SmoothStay's operations, users, or reputation.
10.3 Effect of Termination
Upon termination, access will be revoked. We may delete your Content and Guest Data after 30 days unless otherwise required by law, agreed in writing, or subject to a longer retention obligation under applicable regulations.
11. Limitation of Liability
11.1 No Warranties
The Services, including all AI Features and AI-generated content, are provided "as is" and "as available." We make no warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
11.2 Limitation
Our total liability under these Terms will not exceed the total amount you paid in the 12 months prior to the claim.
11.3 Exclusions
We are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or business interruption. We are not liable for any damages arising from your reliance on AI-generated content, inaccuracies in guidebook content provided to guests, or your failure to comply with applicable local laws.
12. Indemnification
You agree to indemnify and hold SmoothStay, its officers, affiliates, and employees harmless from any claims, liabilities, damages, or expenses arising from: your use of the Services; your Content or Guest Data; your breach of these Terms or applicable law; your failure to comply with guest registration, data protection, or other regulatory requirements in your jurisdiction; or any claims by your guests arising from content you published through the Services.
13. Confidentiality
Both parties agree to protect confidential or proprietary information disclosed during the course of using the Services. Disclosure is permitted only if required by law or with prior written consent.
14. Affiliate Program
SmoothStay offers an affiliate program through which participants may earn commissions for referring new paying customers. Participation in the affiliate program is subject to the separate terms and conditions published at the affiliate program sign-up page. SmoothStay reserves the right to modify or discontinue the affiliate program at any time.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts located in Wyoming.
16. Changes to Terms
We may revise these Terms periodically. The "Last Updated" date at the top of the page will reflect the latest changes. For material changes, we will make reasonable efforts to notify active customers by email or in-app notice. Continued use of the Services after changes constitutes acceptance of the updated Terms.
17. Miscellaneous
17.1 Entire Agreement
These Terms, along with our Privacy Policy, represent the full agreement between you and SmoothStay.
17.2 Severability
If any provision is found to be unenforceable, the rest will remain in full force and effect.
17.3 Force Majeure
SmoothStay is not responsible for delays or failures due to events beyond our control, including natural disasters, outages, strikes, or government restrictions.
